AGREEMENT AND THE TERMS OF USE

The terms of this Agreement and the Terms of Use (the “Terms of Use”) apply to all users of the Selecta Application (the “Application”). By using the Application, you agree with Selecta Media LTD. (SELECTA) to be bound the Terms of Use. If you do not agree to any of these terms, you should not use the Applications. If you are under the age of 18, do not use the Application without the consent of your parent or guardian.

The Selecta Application allows you to stream, display and browse live concert audio visual programs and other digitized electronic content as offered by SELECTA from time to time (the “Digital Content”). Upon payment of applicable fees (if any) set by SELECTA, and solely for your non-commercial and personal use, SELECTA grants you the non-exclusive right to access a copy of the applicable Digital Content and to view and display the Digital Content an unlimited number of times for the duration of any applicable rental period. Digital Content has been provided by third parties, is protected by law, and such third parties are deemed to be third party beneficiaries of these Terms of Use. All rights of third parties providers of Digital Content are hereby reserved at law and in equity.

Except as expressly permitted in this Agreement or with the prior written consent of the copyright owner, no part of the Application or the Digital Content may be copied, adapted, redistributed, reproduced, republished, uploaded, posted, publicly displayed or performed, encoded, translated, transmitted, communicated, sold, rented, leased, distributed, broadcast, sub-licensed or otherwise assigned in any way to any other computer, service, Web site, entity, or other medium for publication or distribution or for any commercial purpose. You may not reverse engineer, decompile, disassemble, modify or disable any copy protection or use limitation systems associated with the Application or the Digital Content and you may not remove any proprietary notices or labels on the Digital Content. You are not granted any rights for uses that require a synchronization or public performance license with respect to the underlying musical composition.

Some functions of the Application may require data access and you may be charged additional fees in connection with the use of the Application and these may be subject to the separate policies and terms of use of your data access provider. You will be solely responsible for payment of any such fees and compliance with any such policies and terms of use.

THE APPLICATION

The Application includes all (i) software of SELECTA or third parties that is embodied in the Application at the time of your initial download, installation or accessing of the Application or that SELECTA provides from time to time as updates or upgrades and (ii) any online or electronic documentation for the Application.

SUBSCRIPTIONS

In consideration for payment of a monthly or yearly charge a Subscription enable you, during a defined period, to view all the Content available on the SELECTA Plataform. Subscriptions are entered into for an indefinite period subject to a minimum commitment of 1 month with effect from the date of purchase of the Subscription. Subscriptions may be terminated at the end of the current period of commitment.

-Price Changes. We reserve the right to adjust pricing for our service or any components thereof in any manner and at any time as we may determine in our sole and absolute discretion. Except as otherwise expressly provided for in these Terms of Use, any price changes to your service will take effect following email notice to you. For members based in Brazil, the subscription fees may be adjusted automatically annually, or more frequently as permitted by law, in accordance with the inflation index as established by General Price Index Market published by Fundação Getúlio Vargas ("IGP-M"), or such other index that may be applicable to the SELECTA service.

-Payment When a Subscription is taken out, SELECTA will make a single charge for the amount corresponding to the initial Subscription period. The User’s payment will be made by credit card. Subsequent payments will be made using the same card.

You enter your bank data via a secure transaction. Orders are validated and recorded as soon as the payment has been accepted.

For subsequent periods, you will be debited the applicable amount for the chosen Subscription period until such time as the Subscription is terminated.

-No Refunds. PAYMENTS ARE NONREFUNDABLE AND THERE ARE NO REFUNDS OR CREDITS FOR PARTIALLY USED PERIODS. Following any cancellation, however, customer will continue to have access to the service through the end of current billing period.

-Cancellation. You may cancel your SELECTA subscription at any time, and you will continue to have access to the SELECTA service through the end of your monthly billing period. WE DO NOT PROVIDE REFUNDS OR CREDITS FOR ANY PARTIAL-MONTH SUBSCRIPTION PERIODS OR UNWATCHED MOVIES OR TV SHOWS. To cancel, go to the "My Account" page on our website and follow the instructions for cancellation. If you cancel your subscription, your account will automatically close at the end of your current billing period. To see when your account will close, do "My Account" page.

LICENSE

Subject to the terms and conditions of this Agreement, SELECTA hereby grants to you a non-exclusive, personal, limited, non-transferable license to install, access, and use the Application via the applicable platform. SELECTA may provide automatic upgrades/updates to your Application from time to time to keep the Application up-to-date.

RT REGULATIONS

No Illegal Use and Reservation of Rights. You may not use the Application or the Digital Content for any illegal purpose. You acknowledge that the license in this Agreement does not transfer to you title to or ownership of any intellectual property rights of SELECTA or its suppliers. The Application is licensed, not sold, and such license is non-exclusive.ORMATION RECEIVED. The Application will provide SELECTA with data about it and information related to the content you access using the Application and your use of it. Information you provide may be stored on servers in the US. Information we receive is subject to the SELECTA Privacy Policy. Patents. The Application and/or methods used in association with the Application may be covered by one or more patents or pending patent applications.

CHANGES TO SERVICE

SELECTA reserves the right to modify, upgrade, suspend, or discontinue the provision of the Application, software, support and digital content at any time, and SELECTA will not be liable to you should it exercise such right.

TERMINATION

Your rights under this Agreement will automatically terminate without notice from SELECTA if you violate or fail to comply with any term of this Agreement. In case of such termination, you must cease all use of the Application and SELECTA may immediately revoke your access to the Digital Content without notice to you and without refund of any fees. SELECTA’s failure to insist upon or enforce your strict compliance with this Agreement will not constitute a waiver of any of its rights.

DISCLAIMER OF WARRANTIES

You expressly acknowledge and agree that use of the application and digital content is at your sole risk. The application and digital content are provided “as is” with all faults and without warranty of any kind and SELECTA and its suppliers and licensors disclaim all warranties, express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, accuracy, quiet enjoyment and non-infringement of third-party rights. No oral or written information or advice given by selecta or an authorized representative of SELECTA shall create a warranty. The laws of certain jurisdictions do not allow the disclaimer of implied warranties. If these laws apply to you, some or all of the above disclaimers, exclusions or limitations may not apply to you, and you may have additional rights.

LIMITATION OF LIABILITY

To the extent not prohibited by law, neither SELECTA nor its content providers, suppliers, partners, vendors or licensors shall be liable to you for any incidental or consequential damages for breach of any express or implied warranty, breach of contract, negligence, strict liability or any other legal theory related to the application or digital content, including, but not limited to, any damages arising out of loss of profits, revenue, data or use of the application or any associated product, even if SELECTA has been advised of the possibility of such damages. In any case, selecta’s aggregate liability under this agreement shall be limited to the amount actually paid by you for digital content. The laws of certain jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. If these laws apply to you, some or all of the above exclusions or limitations may not apply to you, and you may have additional rights.

GOVERNING LAW

The laws of the state of Las Vegas, Nevada, without regard to principles of conflict of laws, will govern this Agreement and any dispute of any sort that might arise between you and SELECTA. Disputes. Any dispute relating in any way from products or services sold or distributed by SELECTA in which the aggregate total claim for relief sought on behalf of one or more parties exceeds $7,500 shall be adjudicated in any state or federal court in Las Vegas, Nevada, and you consent to exclusive jurisdiction and venue in such courts.

SEVERABILITY

If any term or condition of this Agreement shall be deemed invalid, void, or for any reason unenforceable, that part shall be deemed severable and shall not affect the validity and enforceability of any remaining term or condition.

AMENDMENT

SELECTA reserves the right to amend any of the terms of this Agreement at its sole discretion by posting the revised terms on the SELECTA.com website. Your continued use of the Application after the effective date of any such amendment shall be deemed your agreement to be bound by such amendment.

We deliver the highest quality streaming HD and SD concert film and entertainment content in the world and ensure you can find it anywhere, anytime. SELECTA may also collect other profile and preference data, including but not limited to, personal interests, gender, age, education and occupation, in order to assist users to find and communicate with each other. SELECTA also logs non-personally-identifiable information including IP address, general profile information, aggregate user data, and browser type, from users and visitors to the SELECTA. This data is used to manage the website, track usage and improve the website services, among other things. This non-personally-identifiable information may be shared with third-parties (including SELECTA content provider partners) to provide services and advertisements to members. User IP addresses, zip codes, and other geographic location information are recorded for security and monitoring and other benign purposes. SELECTA collects information concerning software you have downloaded from SELECTA, products and content purchased, accessed, downloaded and/or streamed through SELECTA products or services (including, in the case of music products, tracks streamed, purchased or saved in libraries or playlists, or shared with others). User Profile information including members' pictures and chosen usernames are displayed to users and visitors in order to facilitate interaction in the SELECTA community. Email addresses are used for the purposes of inviting new friends to join SELECTA, to add users to members' friends' networks, and to send notifications related to the service. With the exception of inviting friends, adding friends, and notifications, a user's email address is not shared or displayed to people within a user's personal network. Users within a personal network communicate on SELECTA with each other through SELECTA, without disclosing their email addresses – unless they so chose. Users' full names are never directly revealed by SELECTA to other members or visitors. To facilitate searching and finding friends and acquaintances on the service, SELECTA allows users to search for other members using first and last name, and email address. SELECTA also allows users to connect their SELECTA account with their Facebook account for the purposes of finding friends on the Service and sharing personal music listening history with user's friends on Facebook, if she so chooses. We may also use a user's email address to send updates, a newsletter, or news and updates regarding the Service. From time to time, SELECTA or a partner may sponsor a promotion, sweepstake or contest on SELECTA. In order to participate, users may be asked to provide personal information including name, email address or home address or to answer questions. We may transfer personal information to ad partners that you have explicitly requested to receive information from. It will be clear at the point of collection who is collecting the personal information and whose privacy statement will apply.

Invitations and Other Communications to Non-members SELECTA members can invite friends to join the service by sending invitation emails via our automated invitation system. SELECTA stores the email addresses that members provide so that the respondents may be added to the referring member's friend's list, and also to send reminders of the invitations. SELECTA does not sell these email addresses or use them to send any other communication besides invitations and invitation reminders. Recipients of invitations from SELECTA may contact SELECTA to request the removal of their information from our database.

SELECTA members may also store email addresses of people they know in their internal SELECTA address book and may also choose to send invitations and other communications to those addresses.

SELECTA USES YOUR PERSONAL INFORMATION TO:

• Deliver to you and bill you for SELECTA products and services, and communicate with you concerning your account and customer service issues. This may include verifying authorization of credit card usage before any purchase of premium content or services (e.g., for the purposes of access to a free trial or to All Access);

• Verify access rights to premium content or other access-restricted services and software, including for the purpose of supporting digital rights management software;

• Improve our software and services by providing personalized content recommendations, language and location customization, and/or personalized help and instructions;

• Determine if you meet the minimum system requirements to use our products, and provide information concerning compatibility and interoperability to you;

• Track content accesses, downloads and streams for the purpose of paying royalties and license fees to third-party providers, such as record labels and other copyright holders and content distributors and partners;

• Ask you to participate in surveys about products, services, news and events;

• Offer you product upgrades, content, services and games for you to purchase;

• Auto-update downloaded SELECTA products;

SELECTA uses cookies in order to provide SELECTA users with a good SELECTA experience. SELECTA stores visitors' preferences and records session Information to prevent visitors from repeatedly being offered the same advertisements and to customize newsletter, advertising, streaming music, and Web page content based on browser type and user profile information. Correcting/Updating or Removing Information.

SELECTA users may modify or remove any of their personal information at any time by logging into their account and accessing features such as Edit Profile and Account Info.

EMAIL CHOICE/OPT-OUT

Members who wish to opt out of receiving updates or notifications, including the SELECTA newsletter, can do so from within their Account Settings or by clicking on an "unsubscribe" link included in the emails.

THIRD-PARTY ADVERTISING

Ads appearing on this Web site may be delivered to users by SELECTA or one of our advertising partners. Our advertising partners may place cookies on your computer. These cookies allow the ad server to recognize your computer each time they send you an online advertisement. SELECTA member accounts are secured by member-created passwords. SELECTA takes precautions to insure that member account information is kept private. For SELECTA All Access, we utilize Secure Sockets Layering, an industry-standard protocol for certain of your transmissions to us, in order to encrypt the personal information that you send to us through the registration process or to make updates to your payment information. SELECTA cannot guarantee the security of member account information. Unauthorized entry or use, hardware or software failure, and other factors may compromise the security of member information at any time. SELECTA IS NOT "ERROR-FREE"

We sometimes release beta versions of our products, which are further refined before the release to you of the "final" versions. Because these products may still be in a testing phase, we may not always catch an unintended privacy issue, despite our best efforts to do so (we CARE about privacy—a lot!). As such, we welcome comments on any privacy concerns you may have, and on how to improve our products generally, in all stages of release. SELECTA DOES NOT GUARANTEE error-free performance under this Privacy Policy. We will use reasonable efforts to comply with this Privacy Policy and will take prompt corrective action when we learn of any failure to comply with our Privacy Policy. SELECTA shall not be liable for any incidental, consequential or punitive damages relating to this Privacy Policy.

SHARING AND DISCLOSURE OF INFORMATION SELECTA COLLECTS

In some cases, access to certain products and services or other content from third parties, may require the provision of anonymous information to a third party, such as a content provider or distributor.
